1. Agreement to Terms

Specific deliverables, timelines, and pricing are defined in individual project agreements or statements of work executed between the Company and the client.

3. Project Agreements

All project engagements are governed by a separate project agreement or statement of work ("SOW") that outlines scope, deliverables, timeline, payment terms, and other project-specific details. In the event of a conflict between these Terms and a SOW, the SOW shall prevail for that specific project.

4. Payment Terms

• Payment terms are specified in each project agreement
• Standard terms require a deposit before work begins, with the balance due upon project completion or as specified in the SOW
• Late payments may incur a fee of 1.5% per month on outstanding balances
• All prices are in US dollars unless otherwise stated

5. Intellectual Property

Upon full payment, the client receives ownership of all custom-developed deliverables as specified in the project agreement, subject to the following:

• The Company retains ownership of proprietary tools, frameworks, and pre-existing code used in the development process
• Open-source components remain subject to their respective licenses
• The Company reserves the right to showcase completed work in its portfolio unless otherwise agreed in writing

6. Client Responsibilities

Clients agree to:

• Provide timely feedback, content, and approvals as outlined in the project agreement
• Ensure that all materials provided to the Company do not infringe on third-party intellectual property rights
• Designate a primary point of contact for project communications
• Maintain confidentiality of any access credentials provided by the Company

7. Warranties and Disclaimers

The Company warrants that services will be performed in a professional and workmanlike manner. Beyond the support period specified in the project agreement:

• Services are provided "as is" without warranties of any kind, either express or implied
• The Company does not guarantee specific business results, search engine rankings, or revenue outcomes
• The Company is not liable for issues arising from client-modified code or third-party integrations not maintained by the Company

8. Limitation of Liability

To the maximum extent permitted by law, OneStream Services LLC's total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. In no event shall the Company be liable for indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate a project engagement as follows:

• The client may terminate with 14 days' written notice, subject to payment for work completed
• The Company may terminate if the client breaches these Terms or the project agreement and fails to cure within 14 days of written notice
• Upon termination, the client receives all completed deliverables for which payment has been made

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of the business relationship and remains in effect for three (3) years following disclosure.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Broward County, Florida.

12. Website Use

By using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the website
• Reproduce, distribute, or modify website content without written permission
• Use automated systems to scrape or extract data from the website

13. Changes to Terms
